Statutes of China-SAE

Chapter 1 General Rules

Article 1 The name of the Society: Zhongguo Qiche Gongcheng Xuehui, or Zhong Qi Xuehui for short. The English name is China Society of Automotive Engineers, which can be shortened as China-SAE.

Article 2 The nature of the Society: China-SAE is a lawfully registered national, academic, and non-profit corporate social group formed by the voluntary participation of Chinese scientists and technicians in the related fields of the automotive industry; an integral part of the China Association for Science and Technology; an important social force for promoting the development of science and technology in China’s automobile industry; and a bridge and a tie that boosts the communication between the Party and the government and automotive scientists and technologists.

Article 3 The principles of this Society: the Society will abide by the national constitution, laws, regulations and socialism morality. The Society shall mobilize and organize the broad masses of automotive scientists and technologists to focus on economic construction, adhere to the thought that science and technology is the first productive force, implement the policy of “letting a hundred flowers blossom, a hundred schools of thought contend”, actively advocate the spirit of devotion, innovation, pragmatism, and cooperation, promote the principle of respecting knowledge and talents, and insisting democracy, promote the implement of the strategy of rejuvenating China through science and education, reinvigorating the country through human resource development and the strategy of sustainable development, promote the prosperity, development, popularization, and improvement of automotive science and technology, promote the development of talents in automobile science and technology industry. The Society shall serve workers in automobile science and technology, devote itself to social and economic development, help the establishment of an innovative country, and accelerate the realization of China’s socialist modernization.

Article 4 The Society is guided, supervised and managed by the professional authority, China Association for Science and Technology, Societies Registration and Management authority, the Ministry of Civil Affairs, and its escrow unit is China Machinery Industry Federation.

Article 5 The administrative body of the Society is the Secretariat of the Society of Automotive Engineers of China, located in Beijing, People’s Republic of China

Chapter 2 The Scope of Business

Article 6 The main scope of business of the Society is to carry out the following work around China’s automotive science and technology:
(1) To develop academic exchanges, organize researches and discussions and scientific investigation activities on key academic topics, activate academic thinking, promote the development of disciplines, and promote independent innovation;
(2) To promote the establishment of a technological innovation system that will help the healthy development of the automotive industry, and make contributions to the comprehensive improvement of enterprises' capacity for independent innovation;
(3) To hold scientific and technological exhibitions and activities, organize, edit and publish scientific books and audio-visual products, carry forward the scientific spirit, disseminate advanced technology, scientific ideas and methods, and popularize scientific and technological knowledge;
(4) To organize researches on development strategies of science and technology in the automobile industry, actively participate in the formulation of national science and technology policies and regulations, and undertake the demonstration, feasibility study and evaluation of economic construction projects;
(5) To accept the approvals or mandates of the national regulatory authorities to carry out the appraisals of scientific awards and scientific and technological achievements, and the qualification, certification and accreditation of professional techniques, commend and reward outstanding scientific and technical workers, fairly and objectively evaluate professional skills of scientific and technical personnel, and recommend talents;
(6) To offer consulting services for science and technology, promote the transformation of scientific and technical achievements, and participate in the formulation of technical standards;
(7) To carry out non-governmental and international scientific and technical exchanges, actively develop and strengthen the friendly exchanges with relevant international organizations, agencies and engineers of the world’s automotive industries, and promote international cooperation;
(8) To carry out the cultivation, training and continuing education of engineers, and improve the professional level and academic level of sci-tech talents;
(9) To set up social welfare entities for the development of science and technology and the benefit of the members, and set up social welfare undertakings which are in line with the purposes of Society of Automotive Engineers of China;
(10) To reflect the suggestions, opinions and voices of scientific and technical workers, safeguard their legitimate rights and interests, and promote the construction of academic morality and style of study.

Chapter 3 Membership

Article 7 Members of China-SAE are divided into individual members and corporate members, where individual members could be student members, normal members, senior members and overseas members, etc.

Article 8 Applicants to this Society should satisfy the following conditions:
Members who voluntarily apply for, admit the Society Statutes, meet the conditions and are willing to actively participate in and support the Society's activities, may apply for membership.
(I)Qualifications for individual members
Junior students (inclusive senior) majoring in automobile or related majors and postgraduate students may apply to become a student member.
People who satisfy one of the following conditions may apply to become a member:
(1) University or College graduate students, who have professional and technical qualifications equivalent to the level above assistant engineers, or have professional and technical qualifications of he same level;
(2) People who has long been engaging in automobiles and related fields, and have made outstanding achievements in practice;
(3) Managers in scientific and technical sectors who actively and enthusiastically support the work of this Society.
Members who satisfy one of the following conditions may apply to become a senior member:
(1) Having obtained professional and technical qualification as senior engineer, associate researchers, and associate professors or above;
(2) Having made certain contributions in the fields of academic, engineering and technical sciences, having rich experience, or having won the awards of the society or other provincial or national scientific and technical awards;
(3) Having undertaken and engaged in the work of the Society for years, and made important contributions to the development and construction of the Society.
Upon the application and after examination and approval, any sci-tech worker in the automotive or related fields outside the Chinese mainland may apply to become overseas members.
The society may, according to articles covering gifting the membership to the designated person  in the cooperation agreements signed between the Society and foreign institutes, after the examination, approval and adoption, give the membership certificate and badge at the corresponding level to the said person.
II Corporate Members: Enterprises, institutions, and relevant academic communities engage in the scientific research, education, production and management of the automobile and relevant fields.

Article 9 Membership Procedures
(I) Individual Members: Individuals need to apply for the membership by filling out the application form. The uniform Membership Card of Society of Automotive Engineers of China will be awarded to the member after the acceptance, investigation and approval of the institution authorized by the Council of the Society.
(II) Corporate Members: the enterprises, institutions, and relevant academic communities need to fill out the application form. The uniform Membership Card of Society of Automotive Engineers of China will be awarded to the Corporate Member after the acceptance, investigation and approval of the Council of the Society.
(III) Overseas Members: the person applying for the Overseas Membership needs to be approved and recorded by China Association for Science and Technology.

Article 10 The Rights of Members
(I) The Individual Members enjoy the following rights:
(1) The rights to elect, to be elected and to vote;
(2) The rights to propose criticize and supervise the work of the Society;
(3) The rights to take priority and be preferential in participating in the activities held by the Society or enjoying the services provided by the Society;
(4) The rights to join or quit membership voluntarily.
(II) The Corporate Members enjoy the following rights:
(1) The rights to recommend the relevant candidates in accordance with requests of the Council and branch offices of the Society;
(2) The rights to take priority and be preferential in sending representatives to participate in the activities organized by the Society and enjoying the services provided by the Society;
(3) The rights to require the Society to help to organize the consultation, training, technology research and other activities;
(4) The rights to criticize, propose, and supervise the work of the Society;
(5) The rights to join or quit membership voluntarily.

Article 11 The Obligations of Members
1 The obligation to abide by the Society Statutes;
2 The obligation to safeguard the legal rights and interests of the Society;
3 The obligation to implement the resolutions of the Society, and actively participate in the activities organized by the Society;
4 The obligation to introduce new members to join in the Society;
5 The obligation to pay membership dues in accordance with the regulations.

Article 12 Withdrawals
Members enjoy the freedom to withdraw from the Society. Members who want to withdraw membership should inform the Society in writing, and return the Membership Cards.
Members who do not pay the required dues, or do not participate in activities as required, will be regarded as voluntary withdrawal from the Society.

Article 13 Expulsions
Any member who have infringed the reputation of the Society or violates the principles of the Society, after being verified by the institutions approved by the members, will be expelled from the Society.
Any Individual Member who violates laws or regulations or is deprived of political rights, or any Member Society who engages in the activities that violate laws or regulations of the state, the membership will be disqualified immediately.

Chapter 4 Appointment and Dismissal of Organizational Structure and Leaders

Article 14 National Membership Congress
The supreme leading organ of the Society is the National Membership Congress. The functions and powers of the National Membership Congress are as follows:
(1) To formulate and modify the Society Statutes;
(2) To determine the principles and tasks of the Society;
(3) To examine and review the work report of the Council;
(4) To elect and remove directors and elect the Council;
(5) To examine and ratify the standard of membership dues;
(6) To determine other significant issues.

Article 15 The representatives of National Membership Congress should be recommended by this working body, branches, representative organizations, entities, societies at provincial (or autonomous regions or municipalities directly under the Central Government) level and the group membership offices. The current directors are the Ex-Officio representatives.
The National Membership Congress shall be convened only when more than two-thirds of the representatives are present. The resolutions shall be taken into effect only when approved by over half of the present representatives.

Article 16 The National Membership Congress should be held every five years. The Congress can be brought forward or postponed when necessary.
The Congress can be brought forward or postponed due to special reasons only when being proposed by the Executive Council and approved by the Council, and reported to the professional authority for review and the ratification of the organization management authority. General elections can be postponed by one year at most.

Article 17 The Council
As the executive body of the National Membership Congress, the Council is responsible to National Membership Congress and the daily work during the prorogation of the National Membership Congress. The functions and powers of the Council are as follows:
1 To carry out the resolutions of the National Membership Congress;
2 To elect and remove President, vice President, Secretary General and Executive President;
3 To determine the addition and the removal of the Executive President;
4 To lead and supervise the work and activities of the affiliated bodies and organizations;
5 To determine the establishment of working bodies, branches and representative bodies;
6 To determine the appointments of main directors of branches.
7 To ratify the working instructions or other managing documents of this Congress;
8 To report the work and financial condition to National Membership Congress.
9 To prepare for the next sessions of National Membership Congress;
10 To determine other significant issues.

Article 18 The Council Member of this Congress are elected by the National Membership Congress among candidates who are recommended through democratic consultations by the societies from various provinces and municipalities and other relevant offices in accordance with the corresponding requirements and quota allocation.
The candidates of the Council Member should be passionate about the work of the Society, have prominent academic achievements, be honest and upright, enjoy good health, and have the ability to undertake and finish the work assigned by the Council. The composition of the Council should combine the old, the middle-aged and the young. The change of Council Member for some reasons shall take effect only after the approval of the Executive Council in line with the processes put up by the original offices.

Article 19 The Council meeting should be convened yearly, and can be convened by means of communication on special occasions.

Article 20 The Council shall be convened only when more than two-thirds of the Council Members are present, and the resolutions shall be affected only when approved by more than two-thirds of the present Council Members.

Article 21Executive Council
The Executive Council consists of the President, Vice President, Secretary General and Executive Council Member elected by the Council. The number of the Executive Council Members should be no less than one-thirds of the number of the Council Members.
When the Council is not in session, the Executive Council is responsible for the Council and shall execute the responsibilities stated in 1, 3, 4, 5, 6, 7, 9, and 10.
The granting of the title of honor and honorary appointments, and the invitation of consultants and other such issues should be decided according to the director’s nomination.
The Vice Secretary’ appointment should be decided according to the Secretary General’s nomination.

Article 22 The Executive Council should be convened once or twice yearly, and can be convened by means of communication on special occasions.

Article 23 The change of themembers of the Executive Council for some reasons shall be effected only after the approval of the Executive Council in line with the processes put up by the original offices.

Article 24 The Executive Council shall be convened only when more than two-thirds of the Executive Council Members are present. The resolutions shall be taken into effect only when approved by more than two-thirds of the present Executive Council Members.

Article 25 The President, Vice President and the Secretary General shall meet the following requirements:
1 Stick to the lines, guidelines and policies of Communist Party of China and have good political quality.
2 Enjoy high prestige and great influence in the automotive circles.
3 Enjoy good health.  The maximum service age for the President and the Vice President shall be no more than 70 years old, and the Secretary General, as the exclusive position, shall be no more than 65 years old.
4 Never be criminally punished by depriving political rights; have a complete civil capacity.

Article 26 If the age of the President, Vice President and Secretary General exceeds the maximum service age, they shall take positions after having been approved by the Council, reported to the professional authority and been approved by the Ministry of Civil Affairs.

Article 27 The term of office of the President, Vice President and Secretary General of the Society is 5 years and and they shall serve no more than two consecutive terms. In case of the need to extend the term, the decision must be approved in the National Membership Congress by more than two-thirds of the present representatives. The appointment shall be effective after having been reported to the professional authority and been approved by the Ministry of Civil Affairs.

Article 28 The legal representative of the Society is the Secretary General appointed by the Council yet under special circumstances, the President and Vice President can hold the post of legal representative; the legal representative should not hold the position of legal representative in other social organizations.

Article 29 The President shall exercise the following functions and powers:
1 To convene and preside over the meetings of the Council and the Executive Council. 
2 To examine the implementation of the resolutions of the National Membership Congress, the Council and the Executive Council;
3 To sign significant documents on behalf of the Society;
4 To supervise the work of the Secretariat.
5 To nominate the honorary positions, invite and employ the consultants, and submit them to the Executive Council for decision.
6 To take part in the decisions of appointing the main people in charge of the representative bodies and entity bodies;

Article 30 The Secretary General (the legal representative) shall exercise the following functions and powers:
1 To host daily works of the Secretariat and organize the implementation of the annual work plan;
2 To sign the legal documents and the significant documents relevant to the work regulations, rules and institutions on behalf of the Society;
3 To coordinate the work among the branches, representative organizations and entity bodies;
4 To nominate the Deputy Secretary General and the main people in change of the branches, and submit them to the Executive Council for discussion and decision;
5 To decide the main people in charge of the representative organizations and entity bodies after the full consultation with the President of the Society and relevant people;
6 To determine the recruitment of the full-time staff of administrative offices, representative offices and entity bodies;
7 To deal with other work and the daily routines under the authorization of the President.

Article 31 The main functions and powers of the Vice President are as follows:
1 To assist the President in performing relevant work and undertaking relevant responsibilities.
2 To undertake and finish the work commissioned by the President, the Council and the Executive Council.

Chapter 5 The Establishment, Revocation and Management of the Branches

Article 32 The establishment and revocation of the branches
1 The Society can establish work committees; professional branches, research branches and the special fund management committees and these are all non-independent legal bodies.
2 The branches shall, under the leadership of the Society, centering about the specific areas, perform work, undertake responsibilities, finish work commissioned by, the Council and the Executive Council, and support the work of the secretariat within the business scope regulated in this Society Statutes..
III The establishment, revocation, names, the affiliated institutions, the main people in charge of the branches should be put forward by the Secretariat and approved by the Executive Council. And the above lists,which should be examined by the superior administrative sanctions and the Ministry of Civil Affairs, should be conducted by the regulated processes of the country.

Article 33 The branches should be in the name of the branches of China-SAE or the Committee of China-SAE to step up their business activities. Any branch, without the approval of the Council, the Executive Council or other authorized institutions, shall not sign any cooperation agreements or join in any issue of the international organizations.

Article 34 The branches shall not formulate Statutes independently, but they can conclude working rules according its concrete conditions within the principal of the Society Statutes. The working rules can be implemented after the permission process.

Article 35 The employees of the branches should be the individual members of the Society, and their organizations should be corporate members of the Society in principle. The individual qualities should conform to the relevant requirements, and on-the-job people should take the positions. The concrete employment lists should be put forward, verified and employed in accordance with the necessary processes.

Article 36 The business operation of branch societies in provinces, autonomous regions and municipalities are guided by the Society.

Chapter 6 Principles of Asset Management and Disposal

Article 37 The source of the funds
1 Fund from the government and allocated money from the leading sectors;
2 Incomes come from the activities organized or services provided within the business scopes specified in Society Statutes;
3 The income from membership dues;
4 The donations from the organizations, groups or individuals in both home and abroad.
5 The incomes from interests;
6 The funds incomes of the Society;
7 Other lawful incomes.

Article 38 Charge membership dues in accordance with relevant provisions of the state.

Article 39 Funds must be used to develop the business scope and career in accordance with the Society Statutes instead of distributing it among members.

Article 40 The working bodies of the Society has established financial management system to guarantee that the accounting information is legitimate, true, accurate and integrated.

Article 41 According to the regulations of the Ministry of Finance, the Society should have accountants with professional qualifications and full-time cashiers. The accountants must conduct accounting and exercise accounting supervision. Accounting personnel who will transfer to other work or leave their posts must finalize the handing-over procedure with the person who is about to take over their work.

Article 42 The financial management of the Society should conform to the regulations of our country and be under the supervision of the Membership Congress and the financial departments.
The allocated money and the funds from government must be supervised by the auditing agency and be published to the National Membership Congress timely.

Article 43 Any corporate or individual is prohibited from encroaching upon, pocketing or embezzling assets of the Society.

Article 44 The remuneration, insurance and benefits of the full-time staff should refer to the regulations of our country.

Article 45 Before the general election or the change of the legal representative, the Society must accept audits organized by the Ministry of Civil Affairs, the professional authority and the substitution administration.

Chapter 7 Modifying Procedures of the Statutes and the Formulations of the Relevant Management System

Article 46 The formulations and the modifications of this regulation should be put up by the Executive Council and examined by the Council and the National Membership Congress, and its approval should be agreed by over two-thirds of the representatives.

Article 47 The Statutes discussed and passed by the National Membership Congress shall be put into effect after being reviewed and approved by the professional authority, and shall be reported to the Ministry of Civil Affairs for approval within 15 days.

Article 48 The Society, in accordance with the needs of work and management, can formulate several working rules or management systems, which can be implemented after examination and approval in accordance with prescribed procedures.

Chapter Eight Termination Procedures and Disposal of Property after Termination

Article 49 When the purpose of this Society has been completed or it is going to dissolve automatically or need to be canceled due to the division or merger, the council or the executive council shall propose termination motion. After being passed by the National Membership Congress, and being reported to the professional authority for review and approval, the Society shall go through cancellation procedures at the Ministry of Civil Affairs.

Article 50 Liquidation organizations should be founded with the guidance of the professional authority and related institutions before the termination of the Society, to clear the claims and debts. During the liquidation period, other activities should not been held.

Article 51 The remaining assets after the termination shall be used to develop the undertakings concerning the aim of the Society under the supervision of the professional authority, the Ministry of Civil Affairs and the escrowing units, in accordance with state regulations.

Chapter Nine The Emblem

Article 52 The emblem of this Society is composed of the words "China-SAE" and the figure, as the picture shown below. The Chinese name and the English abbreviation may be written around it according to the conditions.

Article 53 The emblem may be hung at the office locations, at the place of activities and printed on the publications, or worn as a badge.

Article 54 Members shall not use the emblem to engage in production and business activities.

Chapter Ten Supplementary Provisions

Article 55 The Statutes have been passed in the 7th National Membership Congress on November 17, 2006.

Article 56 The right of interpreting the Statutes resides in the Executive Council of the Society.
Article 57 The Statutes shall be effective on the date of approval from the Ministry of Civil Affairs.
